Impark is currently looking for a full-time Contracts Paralegal to work at our Chattanooga, TN location.

Working with the Company’s Contracts Manager and under the supervision of its in-house counsel, the Contracts Paralegal will review, draft and advise upon documents relating to the Company’s day-to-day operations, including real property leases and management agreements, commercial contracts, non-disclosure agreements, consulting agreements and miscellaneous matters. The Contracts Paralegal will provide project management and drafting expertise with regard to the Company’s routine commercial transactions and related business issues, and will work collaboratively with the Legal Department’s lawyers and other Paralegals to represent the Legal Department through direct contact with internal clients and a broad range of external vendors, clients and landlords.

PRINCIPAL DUTIES AND RESPONSIBILITIES:

  • Independently undertake contract formation and related matters, including reviewing and drafting leases and commercial contracts and preparing document exhibits and amendments, and supporting negotiation performed by account managers.  Exercise independent judgment and discretion in negotiating on behalf of the Company on these matters.
  • Establish and maintain excellent working relationships with internal business partners and outside resources; independently coordinate with internal business partners, outside counsel, Company’s clients and clients’ counsel as needed;
  • Support the Contracts Manager on matters of governance and maintenance of the Company’s contracts database, and support the Corporate Paralegal as time permits.

MINIMUM REQUIREMENTS:

  • Minimum 5 years relevant experience as a paralegal in a transactional or contracts based practice or in contracts management, with in-house legal experience preferred.  May consider other comparable experience with primary and autonomous responsibility for reviewing, drafting and negotiating a broad range of standard commercial contracts.
  • College degree or paralegal certificate.
  • High level of professionalism and initiative, and ability to maintain confidentiality.
  • Ability to communicate effectively and efficiently.  Strong oral and written communication skills, including business English, composition, spelling, grammar and familiarity with contract and legal terms.  Excellent proofreading skills and attention to detail.
  • Analytical, detail-oriented, motivated self-starter with the ability to manage matters and proactively anticipate issues. Adaptable to new projects with a jump-right-in/can-do attitude.
  • Excellent active listening and interpersonal skills, with ability to work independently as well as part of a team.
  • Highly proficient in various standard PC-based software packages, including Microsoft Word, Outlook, Excel and PowerPoint.  Ability and desire to master new software applications. 
  • Occasional travel outside of U.S. to Canada is required
