An exciting opportunity has arisen for a Corporate Paralegal to join the Legal team at our Corporate Head Office in Downtown Vancouver, B.C.

Duties & Responsibilities:

  1. Corporate
    • Prepare and maintain corporate records of 57 Canadian and U.S. entities, including filing of annual reports with corporate registry, change of directors and officers and other day-to-day transactions.
    • Prepare, file and maintain 83 Canadian and US Business Name registrations and renewals.
    • Prepare annual Ownership II (formerly CALURA) Reports
    • Prepare, file and maintain U.S. vendor qualification documents including New York PASSPORT (formerly Vendex), Bureau of Economic Analysis and online/paper EDC registrations (Chicago)
    • Conduct Minute Book reviews to maintain compliance with applicable laws
    • Co-ordination of Directors or Officers for the execution and application of corporate seals to various documents.
    • Preparation of corporate resolutions re changes of directors and officers, issuance of dividends, banking and other material changes
    • Respond to internal and external requests for corporate information
    • Support Sr. Paralegal in review of bylaws, LLC agreements and corporate law statutes regarding to effect day to day operational work, corporate transactions and other material changes
  • Compile and provide corporate information to the Risk Department for insurance renewal
    • Provide documents and information requested to auditors for annual audit.
    • Maintain diary system of corporate records
  1. Immigration
  • Draft B1 Letters and Letters of Invitation for Canadian and US employees crossing the border for temporary/casual business.
  • Consider and advise on legal restrictions regarding proposed travel
  1. Trademarks
  • Maintain trademark docket list
  • Coordinate filing of applications, renewals and infringement matters
  1. Commercial Agreements
  • Draft third party license/use agreements
  • Review of Non-Disclosure Agreements and maintain NDA registry
  1. Litigation
  • Review, analyze and forward subpoenas and other legal documents received from Registered Agents for Service of Process and outside parties to the Risk Management Department or other appropriate departments.
  • Support litigation hold administration
  • Draft Legal Department Demand letters and co-ordinate delivery.
  • Prepare bi-weekly debt collection summary for senior management.

Skills and experience:

  • You will have 4+ years' experience providing paralegal and administrative support to an in-house legal department or working as a paralegal in a law firm

  • The ability to meet tight deadlines while producing quality and consistent work

  • Proven ability to plan and organize workloads by establishing priorities and respecting deadlines, as well as the flexibility to accommodate unexpected situations

  • Accurate and detail oriented

  • Superior organizational and time management skills
